SUMMARY OF PROPOSED CHANGES TO
By-Laws
Buffalo Chapter
Daemen College/Rosary Hill Alumni
Association
March 2007
The
following amendments to the By-Laws of the Buffalo Chapter of the Daemen
College/Rosary Hill Alumni Association are proposed in order to provide for a
better method of succession and continuity for the Chapter Council:
Article
II – Chapter Council, Officers and Executive Committee
Section 2 Re-define the
officers of the Chapter Council as President, President-Elect, Secretary, Three
(3) Members-At-Large and Immediate Past-President.
Section 3 Re-define the
executive committee of the Chapter as the President, President-Elect and
Secretary.
Article III – Elections
Section 1 Change the term of
office of President to 1 year with no option for an additional term in the same
office.
Set the term
of office of the President-Elect at 1 year with no option for an additional
term in the same office.
Set the term
of office of the Immediate Past-President at 1 year with no option for an
additional term in the same office.
Note: A
President will be elected in the 2007 election. Since the President-Elect will
assume the position of President in 2008, future elections will not include
electing a President.
Set the term
of office for the Secretary and the Members-At-Large at 1 year with the option
of running for one succeeding term in the same office.
Article IV – Duties of the Officers
and the Executive Committee
Section 2 Defines the duties
of the President-Elect.
Section 4 Defines the duties
of the Members-At-Large
Section 5 Defines the duties
of the Immediate Past-President.

Article
II – Chapter Council, Officers and Executive Committee
Section
2 The Officers of the Chapter Council are the President,
President-Elect, Secretary, Three (3)
Members-At-Large, and Immediate Past-President.
Section 3 The executive
committee of the Chapter shall consist of the President, President-Elect
and Secretary.
Article
III - Elections
Section 1 The term of
office for the President, the President-Elect, and the Immediate Past-President
will be for one year, with no option of running for an additional term in their
respective offices.
The
Secretary and the Members-At-Large will each serve a term of one (1) year with
the option of running for one (1) succeeding term in the same office following
the standard election procedures.
Article IV Duties of the
Officers and the Executive Committee
Section 2 Duties of
the President-Elect: (1) perform the functions of the President in the absence
of the President; (2) do all things assigned by the President or the Executive
Committee; and (3) assume the position of President upon completion of the
incumbent President’s term of office, or if the President vacates the office
before completion of the term. In the latter case, the President-Elect, when
vested with the office of President by virtue of the by-laws, shall serve the
remainder of the vacating President’s term before assuming the position of President
for a full term of one year.
Section 4 Duties of
the Members-At-Large: (1) represent the interest of the membership in providing
suggestions and ideas concerning the running of the Chapter; (2) participate
fully in the meetings of the Chapter Council; and (3) do all things assigned by
the President and the Executive Committee.
Section 5 Duties of
the Immediate Past-President: (1) provide advice and suggestions to the Council
based on knowledge and experience as President; participate fully in the meetings
of the Chapter Council; and (3) do all things assigned by the President and the
Executive Committee.
