Article I – Name
The name of this
organization shall be the Buffalo Chapter of the Daemen College/Rosary Hill
Alumni Association (herein referred to as the Chapter).
Article II –
Objectives
The objectives of the
Chapter shall be:
Section 1 To
promote the interests of the College.
Section 2 To provide educational, cultural,
and social opportunities to its members and the community.
Section 3 To encourage financial support of the
College.
Section 4 To communicate with the Daemen
College/Rosary Hill Alumni Association (herein referred to as the Association)
to ensure that the Chapter goals match the long-range plans of the Association
and the College, and to report on the management of the Chapter according to
the Association constitution.
Section 5 To conduct at least one (1) meeting
of the Chapter per year.
BY-LAWS
Article I- Membership
Section 1 - Eligibility
In accordance with the
By-Laws of the Association, Article I-Membership, Section 1, active and
honorary members residing in Western New
York (US Postal Zip Codes 14000 –
14399) and the province of Ontario are eligible for membership.
Section 2 – Rights and
Privileges
Rights and privileges
will be accordance with those in the By-Laws of the Association, Article I - Membership,
Section 2.
Article II – Chapter
Council, Officers and Executive Committee
Section 1 The
governing body of the Chapter shall be the Chapter Council.
Section 2 The
Officers of the Chapter Council are the President,
Vice-President,
and Secretary.
Section 3 The executive committee of the
Chapter shall consist of the Officers of the Chapter Council.
Section 4 The members of the Chapter Council
shall consist of:

Three (3) Members-at-Large
C.
The Immediate Past President
D.
Young Alumni Representative
E.
Chairs of the Standing Committees
F. The
Alumni Relations Director(s) (Ex Officio)
All
of the above are voting members of the Council except the Alumni Relations
Director.
Article III - Elections
Section 1 The Executive Committee and the
Members-at-Large will each serve a term of two (2) years, with the option of
running for one (1) succeeding term in the same office following the standard
election procedures.
Section 2 A nominating committee, appointed by
the President, shall present a slate to the active membership of the Chapter,
one month prior to the election. The committee shall consist of not less than
three (3), or more than five (5) members.
Section 3 All newly elected voting members of
the Chapter Council will be installed at the June meeting of the Chapter of an
election year and assume their duties at the close of that meeting.
Article IV Duties of the Officers and the
Executive Committee
Section 1 Duties of the President: (1)
preside at all meetings of the Chapter, of the Chapter Council and its
Executive Committee; (2) serve as an ex-officio member of all standing
committees; (3) represent the Chapter in an official capacity; and (4) perform
the duties which are usually executed by that office.
Section 2 Duties of the Vice-President: (1)
perform the functions of the President in the absence of the President; (2) do
all things assigned by the President or the Executive Committee; and (3) become
the President in the case of the President vacates the office before the
completion of the term. The Vice-President when vested with the office of
President by virtue of the by-laws shall serve for the remainder of the term.
Section 3 Duties of the Secretary: (1)
perform the usual duties of this office and other duties assigned by the
President or the Executive Committee; (2) maintain records and reports of all
meetings (Chapter, Chapter Council and Executive Committee); (3) maintain
record of attendance at all meetings; (4) read the minutes at meetings; and (5)
file all committee reports with the Chapter’s records.
Section 4 Duties of the Executive Committee:
(1) approve all business of the Chapter; (2) establish and define the standing
and ad-hoc committees of the Chapter for the operating year; (3) responsible to
the Executive Committee of the Association’s Board of Governors for the proper
management of the Chapter.
Article V – Meetings
Section 1 There shall be at least one (1)
meeting of the Chapter per operating year (June 1 to May 31).
Section 2 The Chapter Council shall meet at
least six (6) times each operating year. The President may call meetings of the
Executive Committee at any time that urgent business of the Chapter requires
such a meeting. The results will be reported at the next meeting of the
Chapter Council.
Chapter members are welcome
to attend meetings of the Chapter Council.
Section 3 Attendance of Council Members at
each meeting of the Chapter Council is of vital importance to the Chapter’s
program. Attendance at Council meetings shall be mandatory and effective.
Section 4 Roberts’ Rules of Order shall govern
parliamentary questions in the meetings of the Chapter, and the Chapter
Council.
Section 5 A simple majority of the voting
members of the Chapter Council, or the Executive Committee will constitute a
quorum for the transaction of business.
Article VI - Standing Committees
It shall be the duty of
the President and the other officers of the Chapter Council by the beginning of
the operating year, to review the need for continuing the previous year’s
standing committees and the need for additional committees. The President shall
appoint all standing committees deemed desirable by the Chapter Council, and shall
present appointments for each committee to the Council for its approval.
Article VII - Effective Date of By-Laws
These by-laws shall be
effective immediately upon the approval of the Chapter’s Membership. Approval
shall require an affirmative vote of two-thirds of the Chapter membership in
attendance.
Amendments
These by-laws may be
amended by a two-thirds vote of the members voting at a Chapter meeting,
provided the proposed amendment has been presented to the Chapter membership at
least one month before that meeting.
